Waller Boosts Corporate Practice With Key Hires

Waller Lansden Dortch & Davis, LLP, a full-service corporate law firm with industry-leading experience in healthcare transactional matters, recently announced the addition of five attorneys focused on private equity investments, mergers, acquisitions and divestitures. Joining the firm’s Corporate practice in Nashville are Alexandra Badalamenti, William J. Kent, Alex Munderloh, Mary Alice Murphy and veteran attorney Stephen Page who rejoins Waller after five years with RCCH HealthCare Partners where he served as Vice President and Associate General Counsel.

Alexandra Badalamenti assists private equity firms and other healthcare investors in the acquisition and recapitalization of healthcare entities. She works extensively with dental support organizations and physician practice management companies that support a wide range of specialty physician practices, including cosmetic surgery and skincare, dermatology, gastroenterology, vision (ophthalmology, optometry and optical) and women’s health (OB/GYN, fertility and mammography). Prior to joining Waller, Badalamenti was a business and legal affairs attorney with the IMG Models and IMG Fashion divisions of ENDEAVOR where she negotiated a broad range of agreements related to commercial endorsements, talent representation, licensing and merchandising, production services and other matters. She earned her J.D. from New York Law School’s two-year honors program and received her B.A. from Fordham University.

William J. Kent assists publicly traded and private companies with a wide range of corporate and securities issues including mergers and acquisitions, capital markets transactions and general corporate matters. His experience covers a variety of industries including banking, consumer products, manufacturing, retail, healthcare and real estate. Kent earned his J.D., cum laude, from the University of Tennessee College of Law where he served as editor-in-chief of Transactions: The Tennessee Journal of Business Law. Kent holds an M.B.A. from the University of Tennessee at Chattanooga, and he earned his B.B.A., cum laude, in finance from the University of Georgia. Prior to joining Waller, Kent was a corporate and securities associate at Bass, Berry & Sims PLC in Nashville, Tenn. 

Alex Munderloh assists healthcare clients in facility acquisitions, divestitures, securities offerings and other corporate matters. He also advises consumer products manufacturers in transactional matters. Prior to joining Waller, Alex served as general counsel at an outpatient services provider where he negotiated the acquisition of medical clinics, drafted employment agreements for healthcare providers and executives, advised on regulatory matters and managed outside counsel. He also served as advisory attorney for four of the State of Tennessee’s health-related boards during his tenure as Assistant General Counsel in the Office of General Counsel at the Tennessee Department of Health. Munderloh earned his J.D. from Samford University, Cumberland School of Law while concurrently earning an M.B.A. from Samford University. He received his B.B.A. in economics from the University of Mississippi.

Mary Alice Murphy assists private equity funds and other healthcare investors in structuring and completing investments. Her experience includes outpatient services providers, LASIK surgery centers, dermatology and other specialty physician practices. Additionally, she assists investor-owned healthcare companies in acquisitions, joint ventures, divestitures and other strategic transaction. Prior to joining Waller, Murphy was a member of the Appeals Operations Group in the Division of TennCare, Tennessee’s Medicaid program. Murphy earned her J.D., cum laude, from the University of Tennessee College of Law where she was managing editor of the Tennessee Journal of Race, Gender & Social Justice. She earned her B.A., cum laude, in Political Science from Mercer University.

Stephen L. Page rejoined Waller as a partner after serving as vice president and associate general counsel at RCCH HealthCare Partners for the past five years. Page leverages his in-house experience to assist corporate legal teams, compliance counsel and development officers with complex regulatory issues that impact transactional matters and day-to-day operations. He works extensively with hospitals, health systems, ambulatory surgery centers, home health and hospice care providers, assisted living and senior living facilities and healthcare investors. Page has been recognized by Best Lawyers in the category of Healthcare Law, and he has spoken extensively on a wide range of healthcare topics. Page earned his J.D., cum laude, from the University of Tennessee College of Law. He received his B.S. from the University of Tennessee.
